Job Summary

The Senior Corporate Governance Legal Coordinator is responsible for assisting with our bank boards of directors as well as bank regulatory duties. This position is responsible for organizing multiple special monthly, regular quarterly and annual bank board meetings and researching key regulatory issues in support of Corporate Governance/Regulatory attorneys. This Senior Coordinator engages with board members, as well as internal senior leadership, such as the Bank General Counsel and Bank Presidents. This Coordinator also uses judgment, discretion, and the forming and articulation of opinions with respect to core duties while demonstrating strong organizational and written and oral communication skills. Over time, this Coordinator operates as the subject matter expert in board governance practices and develops working knowledge of the bank regulatory environment (i.e., applicable statutes, regulations, and regulatory guidance).


Essential Job Functions:

  • Board Meeting Management: Draft and establish agendas for board meetings and lead follow-on meetings with the Bank Presidents and Bank General Counsel to articulate reasoning, requirements, and timing of such agendas. Critically evaluate proposed board presentations from bank management, and discuss substantive elements with senior management, requesting edits as needed to presentations. Responsible for production elements of all board meetings, such as communication and coordination with senior leaders about presentations and agenda timing. Develop the annual Board training meeting, including agenda and logistics, and consult with senior leaders (e.g., attorneys, bank presidents, CRO and COO) regarding the same.

  • Data Management and Administration: Prepare and facilitate annual board self-assessment survey (i.e., survey preparation, administration, sending survey out to board members, gathering, and summarizing results in a memorandum for attorney review). Help manage the oversight and maintenance of the various companies and corporate entities within the banks’ structure and organization.

  • Document Management: Prepare initial draft of letters to banks’ regulators (e.g., Confidential Supervisory Information disclosure requests) in consultation with attorneys. Use a template to input bank officer detail into dual officer agreements for attorney review. Review and propose edits to numerous written bank policies in consultation with attorneys and policy owners.

  • Legal Reviews and Research: Research legal issues with oversight from the Corporate Gov/Regulatory attorneys, including statutes, regulations, and regulatory guidance. Read and review legal and regulatory updates sent by regulators, media, law firms and industry trade groups to flag new legislation. Assist attorneys and Hiring Exception Committee with evaluating new candidates with criminal backgrounds for employment consistent with Section 19 of the Federal Deposit Insurance Act.

  • Regulatory Examination Support: Locate and obtain specific documentation from the banks’ corporate and board records to respond to regulatory exam requests and prepare draft responses for attorney review. Manage legal process for various prudential regulations, including making their own edits to board-required policies and the accompanying memoranda that explain such policies/edits to the Board.

  • Normal Office Environment.

  • This position is hybrid with an onsite schedule of 3 - 4 days per month.

  • In-office requirements are subject to change based on business needs.

  • This position is currently available to candidates that reside within 60 miles of Columbus, OH.

Minimum Qualifications:

  • Associate degree or equivalent experience in Legal Studies or related field of study and/or

  • 3+ years of experience working in legal, corporate governance, compliance, risk, audit or related fields or in a paralegal capacity.

Preferred Qualifications:

  • Bachelor’s degree in legal studies or related field of study.

  • 5+ years of experience in executive administration, record keeping and data administration.

Knowledge, Skills and Abilities:

  • Interpersonal interaction with all levels of the organization, including senior leadership as well as board members and bank presidents.

  • Project management.

  • Ability to collaborate while driving successful outcomes and meeting deadlines.

  • Organizational, analytical, and problem-solving skills.

  • Communication skills (presentation, verbal and written).

  • Work well in a fast paced legal environment.

  • Self-starter

  • Ability to manage multiple projects and deadlines with little supervision.

  • Microsoft Office, Teams, SharePoint, OpenText Document Management (DM) and DocuSign.

Typical Pay Range:

$29.75 - $53.95

Full Pay Range for position:

Washington: $31.25 - $62.00

The actual base pay within this range may be dependent upon many factors, which may include, but are not limited to, work location, education, experience, and skills.

Bread Financial offers medical, prescription drug, dental, vision, and other voluntary benefits (including basic and optional life insurance, supplemental medical plans, and short and long-term disability) to eligible associates (regular full-time associates scheduled to work 30 hours per week or more) and their spouses/domestic partners, and child(ren) under the age of 26. New associate elected coverage begins on date of hire (with the exception of disability coverage which has a 6-month waiting period). Six weeks of 100% paid parental leave for eligible parents is available after a 180-day waiting period. Hired associates, both full time and part time, can immediately enroll in Bread Financial’s 401(k) plan.

All associates receive 11 paid holidays. Full-time hourly associates receive a bi-annual grant of Paid Time Off (“PTO”) in each January and July based on their service date and scheduled hours, whereas newly hired full time hourly associates in their first year of employment receive a prorated PTO grant on their 61st day of employment based on the month of hire and scheduled hours. Associates will receive a payout of any unused PTO, up to 40 hours, paid out in the next calendar year (except associates in Alaska, California, Colorado, Montana and Nebraska who are paid for all unused PTO). Additionally, hourly associates (except those in California) generally receive 72 hours of Paid Sick Leave Plus (“PSL+”) per calendar year, with a pro-rated grant in the associate’s first year of employment to the extent allowed by applicable law. If additional PSL+ is required in a particular jurisdiction, the company with comply with applicable law. Unused PSL+ does not carry over from one calendar year to the next unless required by applicable law. Instead of PSL+, hourly associates in California receive 80 hours of Paid Sick and Safe Time (“PSST”) upon hire and at the beginning of each subsequent calendar year.

Hired associates will be able to elect the purchase company stock during offering periods in June and December.
